Terms of Service & Policies

JEChow Studio provides product development advisory, graphic design, IP strategy guidance, and manufacturing support services delivered asynchronously via Trello ("Services"). All deliverables are scoped to the active subscription tier. The Studio operates as an advisory and creative execution partner — not as a legal firm, patent attorney, registered financial advisor, or licensed manufacturer.

All advisory relating to intellectual property (patents, trademarks, trade secrets) is strategic guidance only and does not constitute legal advice. Clients requiring formal legal representation must engage a licensed attorney independently.

Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorise recurring charges at the rate of your selected tier until you cancel. Billing occurs on the same calendar date each month. If that date does not exist in a given month (e.g., the 31st), billing occurs on the last day of that month.

Tier 2 (Full Product Execution) requires a minimum commitment of one (1) month. After the first month, subscriptions continue on a rolling monthly basis and may be cancelled at any time.

No refunds are issued once a billing cycle has commenced. This applies to both Tier 1 and Tier 2 subscriptions. The nature of advisory and creative work means that intellectual effort and time are expended immediately upon receipt of a Trello request — this cannot be undone or returned.

If you are unsatisfied with a specific deliverable, you are entitled to unlimited revision rounds within the scope of the original request. Dissatisfaction with a deliverable does not entitle you to a refund of subscription fees.

In the event of a billing error on our part (e.g., duplicate charge), we will issue a full correction within five (5) business days upon written notice to [email protected].

You may cancel your subscription at any time by notifying us in writing via Trello or email. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Trello board and all deliverables through the end of the paid period. No partial-month refunds are issued.

Tier 2 clients may cancel at any time after the first month. No partial-month refunds are issued.

All creative work, product specifications, packaging designs, scripts, and other deliverables produced specifically for a Client ("Projects") are the sole property of the Client upon receipt of full payment for the billing cycle in which they were delivered. The Studio irrevocably assigns all rights, title, and interest in such Projects to the Client.

The Studio retains the right to display completed Projects in its portfolio, website, and social media unless the Client requests confidentiality in writing prior to the commencement of work. A mutual NDA may be executed upon request before any project-specific information is shared.

The Client warrants that all materials, references, and information provided to the Studio are either owned by the Client or used with proper authorisation, and do not infringe any third-party intellectual property rights. The Client indemnifies the Studio against any claims arising from materials supplied by the Client.

The Studio commits to the following turnaround times for Tier 2 (Full Product Execution) subscribers, measured from the time a Trello card is fully briefed and all required materials are received:

Turnaround guarantees are suspended during public holidays in Hong Kong, and in cases where the Client has not provided complete briefing materials. If the Studio fails to meet a guaranteed turnaround through no fault of the Client, the Client is entitled to a pro-rata credit of one day's subscription fee for each business day of delay, capped at five (5) days per incident.

"Unlimited" requests are subject to fair use. No more than fifteen (15) active Trello cards may be open at any one time per Client. Any single task estimated to require more than two (2) hours of execution time may trigger a scope adjustment conversation before work proceeds. Full brand identity redesigns, custom software development, and physical prototype manufacturing are outside the scope of the subscription and are quoted separately.

Factory introductions, distributor referrals, and retail buyer introductions are provided as professional referrals only. The Studio makes no guarantee that any factory, distributor, or retailer will accept, purchase, or list the Client's product. The Studio is not a party to any agreement between the Client and any third party introduced through the service. The Client assumes all risk and responsibility for any commercial relationship entered into with a third party.

The Studio does not accept commissions, referral fees, or kickbacks from any factory or supplier introduced to the Client. Our recommendations are made solely on the basis of product fit and quality.

The Studio treats all Client project information as confidential by default. Upon request, a mutual non-disclosure agreement ("NDA") will be executed before any project-specific details are shared. The Studio will not disclose Client project details to third parties except as necessary to fulfil the Services (e.g., factory introductions with Client consent).

To the maximum extent permitted by applicable law, the Studio's total liability to the Client for any claim arising out of or relating to this Agreement shall not exceed the total subscription fees paid by the Client in the three (3) months immediately preceding the claim. The Studio is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of business opportunity.

The Studio provides no warranty that any product idea validated or developed through the service will be commercially successful, patentable, or free from third-party IP claims. The Client is solely responsible for conducting independent freedom-to-operate searches and engaging licensed patent counsel before commercialisation.

Clients may not use the Services to develop products that are illegal, infringe third-party intellectual property rights, or are intended to harm others. The Studio reserves the right to terminate a subscription immediately, without refund, if a Client is found to be in violation of this clause.

Clients may not share, resell, or sublicense access to the Studio's Trello board or deliverables to third parties without written consent.

This Agreement is governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its administered arbitration rules. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English.

The Studio reserves the right to modify these Terms at any time. Clients will be notified of material changes via email at least fourteen (14) days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
